Hereinafter referred to as "the Seller"
1. SCOPE
These general terms apply to all offers, order confirmations, sales, and deliveries of BEA MOMBAERS BAGS products by STUDIO CUOIO BV to professional buyers (B2B), regardless of buyer location. Deviations are valid only if confirmed in writing by the Seller.
2. ORDERS AND CONFIRMATION
Orders are subject to written acceptance. A sale is concluded only upon written order confirmation. Pre-orders are binding and may not be cancelled without the Seller’s written approval.
3. PRICING
All prices are exclusive of VAT, import duties, local taxes, shipping and insurance costs, unless agreed otherwise.
• Delivery terms per Incoterms 2020 (EXW Belgium, DAP or DDP).
• If the buyer lacks a forwarder, DAP delivery may be arranged by the Seller at buyer’s request. Shipping costs are invoiced separately. Insurance, loss or damage remain the recipient’s responsibility.
• For shipments using the buyer’s transport account, a €20 admin fee is charged.
4. PAYMENT TERMS
Unless otherwise stated:
• 30% deposit upon order confirmation
• 70% balance before shipment
• Payment in EUR or USD
Late payment automatically incurs 8% annual interest and 10% penalty (min. €150) without prior notice.
5. MINIMUM ORDER QUANTITY (MOQ)
Minimum order: 7 pcs.
Orders below 7 pcs incur a €10 admin fee.
6. DELIVERY AND RISK
Lead times are indicative only. Delay does not entitle the buyer to compensation or cancellation.
Risk transfers at delivery as per agreed Incoterm (e.g., EXW = risk transfers at warehouse pick-up in Belgium).
7. RETENTION OF TITLE
Goods remain the Seller’s property until full payment is received.
8. COMPLAINTS
Visible defects: report in writing within 5 business days.
Hidden defects: within 10 days of discovery.
Complaints do not suspend payment obligations.
9. RETURNS AND CANCELLATIONS
Returns only upon prior written approval. The Seller may charge for incurred costs in case of cancellation.
10. INTELLECTUAL PROPERTY
All designs, images, brand names, and texts remain exclusive property of the Seller or licensors.
APPLICABLE LAW & JURISDICTION
Belgian law applies. All disputes fall under the jurisdiction of the courts of Antwerp, section Turnhout.
